Key Annual Compliances
| Compliance | Due Date / Trigger |
|---|---|
| Board meetings | Minimum 4 a year (gap ≤ 120 days) |
| AGM | By 30 September |
| AOC-4 / MGT-7 | ≈ 30 Oct / 29 Nov (after AGM) |
| ADT-1 | Within 15 days of AGM |

Small-company thresholds were raised (w.e.f. 1 Dec 2025, G.S.R. 880(E)): paid-up capital ≤ ₹10 crore and turnover ≤ ₹100 crore — small companies file the simpler MGT-7A, need only 2 board meetings a year, and are exempt from mandatory internal audit and cash-flow statements. Event-based forms (DIR-12, PAS-3, SH-7, MGT-14, CHG-1/4) are due on their own short timelines.
What Goes Wrong Without Compliance
Late annual filings pile up fast across multiple forms.
3 years of default disqualifies directors for 5 years.
Specific sections carry penalties up to ₹5–10 lakh.
'Defaulting' status hurts loans, due diligence and tenders.
